1. Introduction

Welcome to KwiqServe. These Terms of Service ("Terms") govern your access to and use of the KwiqServe platform, including our website, web application, QR code ordering system, and any related services (collectively, the "Service").

By scanning a KwiqServe QR code, accessing our platform, or placing an order through our Service, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Service.

2. Definitions

• "Customer" / "You": Any individual who scans a KwiqServe QR code and uses the platform to browse menus, place orders, or make payments.
• "Venue Partner": Any pub, bar, restaurant, or food service establishment that has agreed to use KwiqServe's ordering system at their premises.
• "Service": The KwiqServe web-based platform that enables customers to scan QR codes, view menus, place orders, and make payments at Venue Partner locations.
• "Convenience Fee": The 3% service charge applied to each transaction, payable by the Customer.
• "Order": A request placed by a Customer through the Service for food, beverages, or other items listed on a Venue Partner's menu.

3. Eligibility

To use KwiqServe, you must be at least 18 years of age or the legal age of majority in your jurisdiction, whichever is higher. By using the Service, you represent and warrant that you meet this age requirement. If you are placing orders for alcoholic beverages, you confirm that you are of legal drinking age in Nigeria (18 years or older).

4. How the Service Works

KwiqServe provides a technology platform that connects Customers with Venue Partners. The Service operates as follows:

• You scan a QR code displayed at a Venue Partner's location using your smartphone.
• The QR code opens the KwiqServe web application in your browser. No app download is required.
• You browse the Venue Partner's menu, select items, and place an Order.
• You complete payment through the available payment methods (bank transfer, card, or mobile wallet).
• Your Order is transmitted to the Venue Partner for fulfilment.

KwiqServe is a technology intermediary. We do not prepare, cook, serve, or deliver food or beverages. The Venue Partner is solely responsible for the quality, safety, preparation, and fulfilment of all Orders.

5. Pricing, Fees and Payments

All menu prices displayed on the Service are set by the Venue Partner and are quoted in Nigerian Naira (N). KwiqServe does not control menu pricing.

A Convenience Fee of 3% of the total order value is applied to each transaction. This fee is clearly displayed before you confirm your Order and is payable by you, the Customer. The Venue Partner does not bear any portion of this fee.

Additional charges may apply depending on your chosen payment method, including but not limited to bank transfer fees, stamp duty (N50 on transfers of N10,000 or above as mandated by the Nigeria Tax Act 2025), or card processing fees. These charges are imposed by your bank or payment service provider, not by KwiqServe.

Payment is processed at the time you place your Order. By completing a payment, you authorise the deduction of the order amount plus the Convenience Fee from your chosen payment method.

6. Orders and Cancellations

Once you submit an Order and payment is confirmed, the Order is transmitted to the Venue Partner. Orders cannot be cancelled or modified through the KwiqServe platform after submission, as preparation may begin immediately.

If you wish to cancel or modify an Order after submission, you must contact the Venue Partner directly at their premises. Any refund for a cancelled Order is at the sole discretion of the Venue Partner.

KwiqServe will process refunds of the Convenience Fee only where the Venue Partner confirms the Order was not fulfilled. Refunds will be processed to your original payment method within 5-10 business days.

7. Venue Partner Responsibilities

KwiqServe does not operate, manage, or control any Venue Partner. Each Venue Partner is an independent business. KwiqServe is not responsible for the quality, safety, taste, temperature, portion size, or allergen content of any food or beverage ordered through the Service. You acknowledge that your contract for the supply of food and beverages is with the Venue Partner, not with KwiqServe. Any complaints regarding food quality, hygiene, or service should be directed to the Venue Partner.

8. Acceptable Use

You agree not to use the Service to:

• Place fraudulent Orders or use stolen or unauthorised payment methods.
• Attempt to gain unauthorised access to the Service, its servers, or any connected systems.
• Reverse-engineer, decompile, or disassemble any part of the Service.
• Use the Service for any unlawful purpose or in violation of any applicable law or regulation.
• Interfere with or disrupt the integrity or performance of the Service.
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity.

KwiqServe reserves the right to suspend or terminate your access to the Service if you breach these Terms or engage in any conduct that we reasonably believe is harmful to the Service, our Venue Partners, or other users.

9. Intellectual Property

All content, features, and functionality of the Service, including but not limited to the KwiqServe name, logo, design, software, text, and graphics, are the exclusive property of KwiqServe or its licensors and are protected by Nigerian and international copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable licence to access and use the Service for its intended purpose. This licence does not permit you to reproduce, distribute, modify, or create derivative works based on the Service.

10. Limitation of Liability

To the maximum extent permitted by applicable law, KwiqServe shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your use of the Service, including but not limited to loss of revenue, loss of data, or business interruption.

KwiqServe's total aggregate liability to you for all claims arising out of or relating to these Terms or the Service shall not exceed the total amount of Convenience Fees you have paid to KwiqServe in the twelve (12) months preceding the event giving rise to the claim.

KwiqServe does not guarantee that the Service will be uninterrupted, error-free, or free of harmful components. The Service is provided on an "as is" and "as available" basis.

11. Indemnification

You agree to indemnify, defend, and hold harmless KwiqServe, its officers, directors, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or in connection with your use of the Service, your breach of these Terms, or your violation of any applicable law or the rights of any third party.

12. Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria.

In the event of any dispute arising out of or in connection with these Terms or the Service, the parties shall first attempt to resolve the dispute through good-faith negotiation. If the dispute cannot be resolved through negotiation within thirty (30) days, either party may refer the dispute to mediation administered by the Lagos Court of Arbitration (or such other body as may be agreed by the parties).

If mediation fails, the dispute shall be submitted to binding arbitration in accordance with the Arbitration and Mediation Act 2023 of Nigeria. The seat of arbitration shall be Abuja, Nigeria. The language of arbitration shall be English.

Nothing in this clause shall prevent either party from seeking injunctive or other equitable relief from a court of competent jurisdiction where necessary to protect its rights.

13. Modifications to These Terms

KwiqServe reserves the right to modify these Terms at any time. Material changes will be communicated to you through a notice on the Service or via the contact information you have provided. Your continued use of the Service following any modification constitutes your acceptance of the revised Terms.

We encourage you to review these Terms periodically to stay informed of any changes.

14. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such invalidity shall not affect the remaining provisions, which shall continue in full force and effect.
